TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the Dripi mobile application, website, and related services (collectively, the "Platform") operated by Upquark Phygitech Private Limited, a company incorporated under the laws of India ("Dripi", "we", "us", or "our").

By accessing or using Dripi, you agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines referenced herein. If you do not agree, please do not use the Platform.

1. DEFINITIONS

• "User" / "You" means any individual who accesses or uses the Platform.
• "Buyer" means a User who browses, saves, or purchases fashion products on Dripi.
• "Stylist" / "Creator" means a User approved by Dripi to upload styles or content.
• "Content" includes images, videos, text, looks, and other material.
• "Products" means fashion and lifestyle goods listed by third-party sellers.

2. ELIGIBILITY & ACCOUNT REGISTRATION

2.1 You must be at least 18 years old to use Dripi.

2.2 You agree to provide accurate and complete registration information.

2.3 Dripi may suspend or terminate accounts providing false information.

3. NATURE OF DRIPI SERVICES

3.1 Dripi is an AI Style Commerce platform combining:

• AI-powered fashion styling and recommendations
• Wardrobe management tools
• Community and creator-led discovery
• Marketplace facilitation and quick-commerce-enabled fulfilment (in select locations)

3.2 Dripi is not the seller of Products unless explicitly stated. Product sales are fulfilled by third-party brands or logistics partners.

3.3 Styling recommendations are assistive and informational, not professional guarantees.

4. USER OBLIGATIONS

You agree that you will not:

• Violate any law or regulation
• Upload misleading or unlawful content
• Manipulate platform metrics
• Reverse engineer Dripi’s AI systems
• Transact outside the Platform

5. AI STYLING & RECOMMENDATIONS

5.1 Dripi uses AI models trained on fashion data, behavioral signals, and styling logic to generate recommendations.

5.2 AI outputs are probabilistic and may not always align with individual preferences or outcomes.

5.3 Dripi does not guarantee fit, comfort, or satisfaction and shall not be liable for dissatisfaction arising from AI suggestions.

6. CONTENT & INTELLECTUAL PROPERTY

6.1 User Content

You retain ownership of Content you upload. By uploading Content, you grant Dripi a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, and display such Content for platform operations, AI training, marketing, and discovery.

6.2 Platform IP

All Platform technology, AI models, algorithms, design, and generated outputs are owned by Dripi.

6.3 You may not copy, distribute, or exploit Dripi IP without written permission.

7. STYLIST / CREATOR TERMS (SUMMARY)

7.1 Stylists are approved at Dripi’s discretion and may be subject to additional agreements.

7.2 Monetisation, revenue share, and payouts are governed by Creator Program policies.

7.3 Dripi may modify or revoke Stylist privileges for quality, compliance, or trust reasons.

8. ORDERS, PAYMENTS & REFUNDS

8.1 Payments are processed via third-party payment gateways.

8.2 Prices, availability, delivery timelines, and return policies are determined by sellers and disclosed at checkout.

8.3 Dripi may facilitate refunds, returns, or instant credits to protect user experience.

9. DATA & PRIVACY

9.1 Your personal data is governed by the Privacy Policy and applicable Indian laws, including the Digital Personal Data Protection Act, 2023.

9.2 Dripi owns aggregated, anonymised behavioral and styling data generated on the Platform.

10. DISCLAIMERS

• The Platform is provided on an "as-is" and "as-available" basis.
• Dripi does not warrant uninterrupted access, error-free operation, or perfect outcomes.
• Fashion preferences, trends, and fits are subjective.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• Dripi shall not be liable for indirect, incidental, or consequential damages.
• Dripi’s total liability shall not exceed INR 5,000 or the amount paid by you on the Platform in the last 3 months, whichever is lower.

12. TERMINATION

Dripi may suspend or terminate your access:

• For violation of these Terms
• For misuse, fraud, or harmful conduct
• To comply with legal or regulatory requirements

Upon termination, your right to use the Platform ceases immediately.

13. GOVERNING LAW & DISPUTE RESOLUTION

13.1 These Terms are governed by the laws of India.

13.2 Any disputes shall be resolved through arbitration under the Arbitration & Conciliation Act, 1996.

• Arbitrator: Sole arbitrator appointed by Dripi

Courts in Delhi shall have exclusive jurisdiction for interim relief.

14. CHANGES TO TERMS

Dripi may update these Terms from time to time. Continued use of the Platform constitutes acceptance of revised Terms.
